Hi

I have a few questions before I buy:

What are the server requirements, if any for this?
I dont want to sell ad space - I only want to setup ads myself. Can the options for selling ad space be disabled?
Can adverts be automatically rotated?
Can adverts be geotargeted? I use cloudflare with my forum which automatically adds a new server variable that holds a 3 letter ISO country code.

Server requirements. Requires SMF either SMF 2.0.x or 1.1.x installed and running MySQL for the database.

Selling ad space is optional you can turn it on or off
Yes adverts can be rotated. You can  have multiple ads in the same spot and the system will auto rotate.

Geotargerted ads not yet. But that is something I can Look into it. I have used maxmind geoip databases before.

One more question - I am running SMFADS v2.3 on my forum. Is there a way to upgrade this, or do I need to uninstall it and reinstall the new version?

It would require uninstallling of smfads to install Ad Seller Pro. 
I would backup your ad tags first and save them in a text file then go from there.
Once your order AdSeller Pro follow the quick start guide http://www.smfhacks.com/index.php/topic,4270.0.html  You can skip the parts of setting up paid ad packages.
